Private Office Rental Terms & Conditions

Location: 333 E Main Street, Suite 203, Johnson City, TN 37601 (“Premises”)

These Terms & Conditions (“Terms”) govern the rental and use of a private office (“Office”) within the coworking facility (“Space”). By signing an agreement or taking possession, Tenant agrees to these Terms.

1) Term & Commitment

Initial Commitment: Tenant agrees to a minimum six (6) month commitment beginning on the start date listed in the rental agreement (“Start Date”).

After Initial Term: After the initial 6-month period, the rental will continue with six (6) month commitments from time of renewal unless otherwise stated in writing.

2) Payment Terms

Rent & Fees: Rent and any applicable fees are due on the schedule listed in the rental agreement.

Late Payments: Late payments may be subject to late fees and/or access suspension as permitted by law and the rental agreement.

Returned Payments: Returned/failed payments may incur a processing fee.

3) Cancellation / Early Termination

30-Day Notice Required: Tenant must provide written notice at least thirty (30) days prior to the intended move-out date.

Six-Month Commitment Applies: Notice does not reduce the initial 6-month obligation. If Tenant terminates during the initial term, Tenant remains responsible for rent through the end of the 6-month commitment (unless Landlord/Operator relets the office earlier, at its discretion, and as allowed by law).

Move-Out Requirements: Office must be returned in the condition received (ordinary wear and tear excepted), with all keys returned and all personal property removed.

4) Access (24/7) + Keys / Codes

24/7 Access: Tenant receives 24/7 access via key and door code, subject to building rules, emergencies, maintenance, or security concerns.

Key Responsibility: Keys and codes are for Tenant’s authorized users only and may not be shared outside Tenant’s approved team members.

Lost Keys / Copies: Lost keys or unauthorized copies incur a $5 charge per key. If rekeying is required for security reasons, Tenant may be responsible for the full rekey cost.

Code Security: If a code is believed compromised, Tenant must notify the Office Manager immediately.

5) Parking

Dedicated Space: Tenant is provided one (1) dedicated parking space, subject to posted rules and availability constraints of the property.

No Transfer: Parking is for Tenant use only and may not be sublet or transferred.

6) Authorized Users / Team Members

Included Users: Tenant may add up to three (3) team members (“Authorized Users”) for access and use of common areas as permitted.

Accountability: Tenant is responsible for the conduct, damages, and compliance of all Authorized Users and guests.

7) Office Manager Right of Entry

Right of Entry with Notice: The Office Manager (or authorized staff/contractors) may enter the private office with at least twenty-four (24) hours’ notice for purposes such as inspections, maintenance, repairs, cleaning coordination, rule enforcement, tours with prospective tenants (when reasonable), or other operational needs.

Emergency / Maintenance Exception: In the event of an emergency (including safety/security concerns) or urgent maintenance needs, the Office Manager may enter without advance notice. In these cases, the Space will provide notice to Tenant within twenty-four (24) hours after entry, describing the reason for access and, when applicable, any actions taken.

8) Cleaning, Upkeep, and Trash

Regular Cleaning Required: Tenant must keep the Office reasonably clean and sanitary.

No Hazardous Conditions: Tenant may not allow odors, pests, excessive clutter, or unsanitary conditions.

Trash Rule: Tenant must place trash in the rear hallway no later than 6:00 PM on Tuesday for removal. Trash must be bagged and tied.

Extra Cleaning Fees: If additional cleaning is required due to Tenant use, Tenant may be billed for cleaning and/or disposal costs.

9) Use of Space / Conduct

Tenant agrees to:

Use the Office for lawful business purposes only.

Maintain reasonable noise levels and be respectful of other tenants/members.

Follow all posted Space rules, building rules, fire code, and safety requirements.

Not conduct activities that materially disrupt the Space (e.g., loud music, nuisance behavior, harassment, threatening conduct).

10) Prohibited Activities

Without limitation, Tenant may not:

Use the Office for illegal activity or to store illegal items.

Possess or use weapons in violation of law or posted policy.

Store hazardous, flammable, or explosive materials (beyond normal office supplies).

Install locks, cameras, or networking equipment that interferes with building systems without written permission.

Make alterations, paint, mount permanent fixtures, or drill into walls without written approval.

11) Internet, Utilities, and Services

Shared Services: Internet and any shared services are provided “as-is” and may be interrupted due to outages, maintenance, or circumstances outside control.

No Guarantees: The Space does not guarantee speed, uptime, or suitability for specialized needs (servers, heavy streaming, etc.).

Tenant Equipment: Tenant is responsible for their own equipment, backups, and cybersecurity.

12) Mail, Packages, and Address Use

Business Address: Use of the Premises address may be permitted as outlined in your rental agreement and Space policies.

Packages: Tenant is responsible for timely pickup of packages. The Space is not liable for loss, theft, or damage.

No Sensitive Shipments: Do not ship cash, controlled substances, or high-value items without prior approval.

13) Guests and Visitor Responsibility

Tenant is responsible for all guests. Guests must comply with Space rules and may be required to sign in.

The Space may restrict guest access for capacity, security, or policy reasons.

14) Security, Liability, and Risk

Assumption of Risk: Tenant uses the Space at their own risk.

No Liability for Personal Property: The Space is not responsible for loss, theft, or damage to Tenant property or guest property.

Security Practices: Tenant should lock the Office and secure valuables. Do not leave doors propped open.

15) Damage to Property

Tenant is responsible for damage beyond ordinary wear and tear caused by Tenant, Authorized Users, or guests.

Costs may include repair, replacement, labor, and administrative time.

16) Insurance

Tenant is encouraged (and may be required by the rental agreement) to maintain general liability insurance and property insurance covering Tenant’s personal property/equipment.

Proof of insurance may be requested.

17) Default / Enforcement

If Tenant violates these Terms (including nonpayment, misuse, or security violations), the Space may take reasonable actions including:

Written notice to cure,

Suspension of access,

Termination as allowed by agreement and applicable law,

Collection of unpaid balances, fees, or damages.

18) Changes to Policies

The Space may update house rules, security procedures, or operational policies as needed. Material changes will be communicated to Tenant.

19) Force Majeure

The Space is not liable for failure to provide access or services due to causes beyond reasonable control (e.g., weather events, power outages, emergencies, building closures).

20) Governing Law / Venue

These Terms are governed by the laws of the State of Tennessee. Venue for disputes, if any, will be in the appropriate court with jurisdiction in or near Washington County, Tennessee (unless otherwise required by law).
